What is the meaning of an all-stock transaction,please?

Under the agreement, 2.3 Disney shares will be issued for each Pixar share.

What is the meaning of the part in bold?

My bold guess:

(1)

all-stock transaction means "one company purchases all shares of another company"

It's like a buyout (one company purchases a controlling interest in another company)

(2)

Since pixar is no longer a comany, its shares must be replaced with an exchange rate of 1 to 2.3 with Disney shares.
