Why 'me' in the first case and why 'I' in the second?

 Prepositions require the so-called object form of personal pronouns and of is a preposition: a picture of me. In the second sentence I is the subject of the sentence and that's why me is wrong: I will be making you an offer. (Not: Me will be making you an offer.)

My father and I will be making you an offer. 

My father and I will be making you an offer.  (Just ignore what comes before 'I'.)

 I  and my father will be making you an offer. (Put yourself first in the sentence. It should be clear that 'I" should be used.)
