I would have an adjective rather than a noun follow "seem": 'He seems so sad; sorry seems hard to say'. Otherwise, 'to be' should be included. Suppose: the first sentence sounds like you are 'giving in, admitting' that the person is correct; the second is a bit awkward, but I think the meaning would be that I 'believe you are correct' (I wouldn't ever say it).
