These two expressions are very similar.
Would you prefer X?
Would you rather have X?
When you use 'will', it shows you are thinking of a future event that you think will actually happen.
eg Mary will marry Tom.
When you use 'would', it suggests you think the event is hypothetical, just a posssibility.
eg If Tom asked Mary, she would marry him.
.
'Would' is also used to add politeness in certain cases,
eg Would you like a cup of tea?

Would you prefer is followed by infinitive only or by a noun. For example; Would you prefer to go there alone?/Would you prefer a red hat to the green one?
And would you rather have ... is followed by a noun. Eg., Would you rather have a dog than a cat? Am I right? Is everything correct?
Are there any other simillar constructions?
